Terms of Service

Plain-language summary: You use RyzoAi to automate your business on WhatsApp and Instagram. You pay us monthly. You own your business data. You must follow Meta's rules for messaging customers. If you misuse WhatsApp to spam people, we will suspend your account. Indian law governs everything. Courts in Patna have jurisdiction.
01 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you") and NxtGenAi Automations, operating as RyzoAi ("Company", "we", "us"), governing your access to and use of the RyzoAi platform available at https://ryzoai.in.
By creating an account, starting a free trial, or purchasing a subscription, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use RyzoAi.
If you are using RyzoAi on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
02 Description of Service
RyzoAi provides the following services to Indian businesses ("the Service"):
- AI-powered WhatsApp Business chatbot (via Meta WhatsApp Cloud API)
- Instagram DM automation and Comment-to-DM automation (via Meta Instagram Messaging API)
- Google Reviews monitoring and AI-powered review reply (via Google Business Profile API)
- Appointment booking with Google Calendar integration
- UPI/Razorpay payment link automation via WhatsApp
- Lead capture, qualification, and Kanban pipeline management
- Daily WhatsApp AI business performance reports
- Multi-language AI support (Hindi, Hinglish, Tamil, Telugu, Marathi, Bengali, Gujarati, Kannada, Malayalam)
- Meta 2026 Compliance Shield for WhatsApp account protection
Service features and availability may evolve over time. We will notify you of material changes to the Service.
03 Eligibility & Account Registration
- You must be at least 18 years old and a resident or registered business in India to use RyzoAi
- You must have a valid WhatsApp Business account and Meta Business Manager account to use WhatsApp automation features
- You are responsible for maintaining the security of your RyzoAi account credentials
- You must provide accurate, current, and complete information during registration
- One account per business. Multiple accounts for the same business without our written consent are prohibited
- You are responsible for all activities that occur under your account
04 Subscription & Payments
4.1 — Plans & Pricing
- Starter: ₹1,499/month — 1 WhatsApp number, 1 AI agent, core features
- Growth: ₹2,999/month — 3 WhatsApp numbers, 3 AI agents, full feature set
- Pro Agency: ₹5,999/month — 10 WhatsApp numbers, unlimited AI agents, white-label option
Pricing is in Indian Rupees (INR) and inclusive of all applicable taxes unless stated otherwise. Prices may change with 30 days' notice.
4.2 — Free Trial
New users receive a 7-day free trial on the Starter plan. No credit card required to start the trial. At the end of the trial, your account will be paused unless you subscribe. Your data is retained for 14 days after trial expiry.
4.3 — Billing
- Subscriptions are billed monthly in advance via Razorpay
- Accepted payment methods: UPI, credit/debit card, net banking, wallets
- Failed payments result in a 3-day grace period before service suspension
- WhatsApp API message costs (Meta's charges) are separate and billed directly by Meta to your Meta Business account — RyzoAi does not mark up Meta's API costs
- Razorpay's 2% transaction fee applies to payment links sent to your customers via RyzoAi. No additional markup by RyzoAi
05 Refund Policy
RyzoAi subscriptions are non-refundable after the 7-day free trial period, except as required by applicable Indian consumer protection law.
We offer refunds in the following specific circumstances:
- Technical failure of core service features for more than 72 continuous hours that RyzoAi cannot resolve
- Accidental duplicate payment (same amount charged twice in the same billing cycle)
- Billing error attributable to RyzoAi's systems
To request a refund under the above circumstances, email support@ryzoai.in within 7 days of the disputed charge with your account details and reason. We will review and respond within 5 business days.
Refunds will be credited to your original payment method within 5–7 business days after approval.
06 Acceptable Use & Prohibited Activities
You agree to use RyzoAi only for legitimate business automation purposes. The following are strictly prohibited:
- Spam & unsolicited messaging: Sending bulk promotional messages to people who have not opted in to receive WhatsApp messages from your business
- Misinformation: Sending false, misleading, or deceptive content via the platform
- Impersonation: Pretending to be a human agent when messaging customers via AI (RyzoAi's Compliance Shield flags this automatically)
- Illegal content: Using RyzoAi to send illegal, defamatory, fraudulent, or harmful content
- Platform abuse: Attempting to reverse-engineer, scrape, or exploit RyzoAi's systems
- Reselling without authorisation: Reselling RyzoAi services to third parties without a Pro Agency plan and written agreement
- Policy violations: Any use that violates Meta's WhatsApp Business Policy, Instagram Platform Policy, or Google's API Terms of Service
Violation of this section may result in immediate account suspension without refund and reporting to Meta, which may result in suspension of your WhatsApp Business account.
07 WhatsApp & Meta Platform Compliance
Your use of RyzoAi's WhatsApp automation features is subject to Meta's WhatsApp Business Policy. As a user, you are solely responsible for:
- Obtaining explicit opt-in consent from all customers before sending them WhatsApp messages via RyzoAi
- Honouring opt-out requests from customers immediately
- Ensuring your WhatsApp Business account remains in good standing with Meta
- Ensuring all message content sent via RyzoAi complies with Meta's content policies
- Maintaining accurate business information in your Meta Business Manager
RyzoAi's Compliance Shield automatically checks every outgoing message against Meta's 2026 policies. However, this is a best-efforts tool — RyzoAi is not liable for WhatsApp account suspensions caused by your business content, messaging practices, or pre-existing policy violations.
If Meta suspends your WhatsApp Business account, RyzoAi's subscription fees are not refundable as the cause is Meta's independent decision regarding your business account.
08 Intellectual Property
- All RyzoAi platform code, design, AI models, workflows, templates, and branding are the exclusive property of NxtGenAi Automations
- Your business data, customer contacts, conversation logs, and configurations uploaded to RyzoAi remain your property
- You grant RyzoAi a limited licence to process your data solely for the purpose of delivering the Service
- You may not copy, reproduce, modify, or distribute any part of RyzoAi's platform without written consent
09 Disclaimer of Warranties
RyzoAi is provided on an "as is" and "as available" basis. We do not warrant that:
- The Service will be uninterrupted, error-free, or available 100% of the time
- AI-generated responses will always be accurate, appropriate, or grammatically perfect
- Google Review rankings will improve as a result of using RyzoAi's review reply automation
- WhatsApp message delivery is guaranteed (Meta's infrastructure determines delivery)
- ROI figures cited on our website (e.g., ₹7,500/month extra for salons) are guarantees — they are illustrative estimates based on typical usage
We aim for 99%+ uptime but make no contractual SLA guarantee under the standard plans.
10 Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- RyzoAi's total cumulative liability to you for any claim arising from your use of the Service shall not exceed the amount you paid to RyzoAi in the 3 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages including loss of profits, loss of customers, or reputational damage
- We are not liable for damages caused by Meta suspending your WhatsApp or Instagram account, Google removing your business listing, or Razorpay declining payments
- We are not liable for internet outages, server downtime of third-party providers (Meta, Google, Razorpay), or force majeure events
11 Indemnification
You agree to indemnify, defend, and hold harmless RyzoAi, NxtGenAi Automations, its founders, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of Meta's WhatsApp Business Policy or any applicable law
- Content you send to your customers via RyzoAi
- Your failure to obtain proper customer consent for WhatsApp messaging
- Any claim by your customers arising from your use of RyzoAi to communicate with them
12 Termination
Termination by You
You may cancel your RyzoAi subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.
Termination by RyzoAi
We may suspend or terminate your account immediately without notice if:
- You violate Section 6 (Acceptable Use) or Section 7 (Meta Compliance)
- Your account is used for illegal activity
- Your payment fails and is not resolved within the 3-day grace period
Upon termination, your access to RyzoAi stops immediately. Your data will be retained for 30 days after termination and then permanently deleted, unless required by law.
13 Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000, the Consumer Protection Act 2019, and the Digital Personal Data Protection Act 2023.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar, India.
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.
14 Changes to These Terms
We may update these Terms to reflect changes in our service, pricing, Meta's API policies, or applicable Indian law. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via WhatsApp message or email at least 14 days before changes take effect
If you continue using RyzoAi after the effective date, you accept the updated Terms. If you disagree, you may cancel your subscription before the effective date.
